Terms of Use

Version of 23.09.2026

1. General provisions

1.1. These Terms govern the use of the wholesale B2B platform www.myfusion.eu (the “Platform”) and the supply of goods through it.

1.2. The Platform is operated by SIA MYFUSION, registration No. 50103198121, VAT No. LV50103198121, registered address: Laboratorijas iela 19, Rīga, LV-1009, Latvia; e-mail: info@myfusion.eu; phone: +371 25566065 (“MyFusion”).

1.3. The Platform is intended only for legal entities purchasing goods for their business activities (resale or the company’s own needs). The Platform is not intended for consumers within the meaning of consumer protection law.

1.4. By registering on the Platform, the client confirms that it has read these Terms and accepts them on behalf of its company, and that the person registering is authorised to represent the company.

1.5. If MyFusion and the client have concluded a separate written agreement, that agreement prevails in the event of any inconsistency; otherwise these Terms apply.

2. Registration and account

2.1. Registration is open to companies registered in a European Union member state and holding a valid VAT number. MyFusion determines the list of countries open for registration.

2.2. During registration, the VAT number and registration details are verified against state registers and the European Commission’s VIES system. The company name and registered address are taken from the register.

2.3. MyFusion may request a company registration extract, a VAT registration certificate and other documents confirming the client’s details.

2.4. The account becomes active after approval by MyFusion. MyFusion may refuse registration and may suspend or close an account if the details cannot be confirmed, are incorrect, or the client breaches these Terms.

2.5. The client is responsible for keeping its login details secure and for all actions performed under its account. The client shall notify MyFusion without delay of any suspected unauthorised access.

2.6. The client shall notify MyFusion of any change in its details (name, address, VAT number, contact persons) within 5 working days.

2.7. The client decides which of its employees and representatives have access to the account and is responsible for ensuring that only persons authorised by it have access. All orders and other actions performed under the client’s account using its login details are deemed to have been performed by the client and are binding on it.

2.8. If the login details have become known to third parties, or an employee who no longer represents the client had access, the client shall notify MyFusion without delay and change the password. Until MyFusion receives such notice, the client is responsible for actions performed under the account.

2.9. MyFusion may request confirmation of the authority of the person who placed an order (for example, from a member of the client’s management board) and may withhold fulfilment of the order until such confirmation is received.

3. Goods and prices

3.1. Prices on the Platform are visible after login, are stated excluding VAT and may depend on the client’s individual terms.

3.2. Information on availability and delivery times is based on data from the warehouses of MyFusion and its suppliers and is provided for information only.

3.3. Product descriptions, photos and specifications are based on data from manufacturers and suppliers. Minor differences in appearance or contents that do not affect the purpose of the goods are not a defect.

3.4. MyFusion may change prices and the product range. The order price is fixed when MyFusion confirms the order. In the event of an obvious pricing error, MyFusion may decline to confirm the order or cancel it.

4. Orders and conclusion of the contract

4.1. An order placed on the Platform is the client’s offer to purchase the specified goods.

4.2. The sales contract is concluded when MyFusion confirms the order by notification or by issuing an invoice.

4.3. If some goods are unavailable, MyFusion may, in agreement with the client, confirm the order in part or offer a replacement.

4.4. A confirmed order may be changed or cancelled only with MyFusion’s agreement before dispatch. Goods ordered from a supplier specifically for the client cannot be cancelled.

4.5. The order confirmation and invoice are sent to the company e-mail address specified in the account. If the client raises no objection within 1 working day of receiving the confirmation, the order is deemed agreed by the client.

4.6. If the client refuses without legal grounds to accept goods that have been dispatched or specially ordered for it, the client shall reimburse MyFusion for the delivery and return costs and pay a handling fee of 15% of the value of the goods, unless MyFusion proves greater loss.

5. Payment

5.1. Payment is made against MyFusion’s invoice by bank transfer or by another method specified when placing the order.

5.2. Unless deferred payment has been agreed with the client, goods are dispatched after payment is received. Deferred payment and its term are agreed individually with each client and stated on the invoice.

5.3. In the event of late payment, MyFusion may suspend the client’s shipments and new orders until the debt is settled and charge a late payment penalty of 0.1% of the overdue amount for each day of delay, but not more than 10% of the invoice amount.

5.4. Title to the goods passes to the client upon full payment of the invoice.

5.5. The first orders of a new client are shipped on a prepayment basis. MyFusion sets deferred payment terms and credit limits at its own discretion and may change or withdraw them, including in the event of late payments.

5.6. MyFusion may make deferred payment conditional on a guarantee (surety) by a shareholder or management board member of the client for the performance of the client’s obligations.

6. VAT

6.1. VAT is charged in accordance with the laws of the Republic of Latvia.

6.2. Supplies to a client in another EU member state holding a valid VAT number are subject to 0% VAT (reverse charge) if the goods are transported out of Latvia. At MyFusion’s request, the client shall provide documents confirming receipt and transport of the goods; if they are not provided, MyFusion may charge VAT at the Latvian rate.

7. Delivery and acceptance

7.1. Delivery methods and costs are shown when placing the order or agreed separately. Delivery times are indicative.

7.2. The risk of accidental loss of or damage to the goods passes to the client when the goods are handed over to the client or to the carrier.

7.3. On receipt, the client checks the number of packages and the condition of the packaging. Visible damage must be noted in the carrier’s document at the time of receipt.

7.4. Claims regarding quantity, assortment and visible damage are accepted within 3 working days of receipt of the goods, with photos and the invoice number. Such claims are not accepted after this period.

8. Returns

8.1. The consumer’s 14-day right of withdrawal from distance contracts does not apply to clients of the Platform.

8.2. Goods of proper quality are taken back only with MyFusion’s prior written consent, in undamaged original packaging and complete. MyFusion may deduct delivery and handling costs of the returned goods from the amount refunded.

9. Warranty

9.1. Goods carry a warranty of 24 months from the date of sale, unless a different period is stated on the product page or in the warranty periods section. Certain product groups (for example, perfumes and hygiene products) are not covered by warranty.

9.2. A warranty claim is submitted in the client’s account in the “Service” section, stating the serial number and a description of the fault. Warranty questions: rma@myfusion.eu.

9.3. Warranty goods are sent to: SIA MYFUSION, Garantijas nodaļa, Laboratorijas iela 19, Rīga, LV-1009, in packaging that protects them during transport.

9.4. Based on the inspection, MyFusion repairs the goods, replaces them with the same or equivalent goods, or issues a credit note.

9.5. The warranty does not cover mechanical damage, traces of moisture, improper use, normal wear and tear, consumables, or goods with opened or damaged warranty seals.

10. Dropshipping and API

10.1. MyFusion provides access to the API, product exports and dropshipping by separate agreement and may restrict or revoke it at any time.

10.2. API access keys are confidential; the client shall not disclose them to third parties and is responsible for requests made with its keys.

10.3. In dropshipping, the client is the seller to the end customer. The client bears all obligations towards end customers, including under consumer protection law.

10.4. Product, price and availability data are provided “as is”, without any guarantee of completeness or accuracy. MyFusion’s texts and images may be used only for selling goods purchased from MyFusion.

11. Liability

11.1. MyFusion’s liability for a particular order is limited to the value of that order.

11.2. MyFusion is not liable for loss of profit, indirect loss, interruptions in the operation of the Platform or delays caused by suppliers or carriers.

11.3. The parties are released from liability for failure to perform their obligations due to force majeure.

11.4. The client shall compensate MyFusion for losses resulting from its breach of these Terms, including from inaccurate information provided during registration or when placing an order.

12. Confidentiality and personal data

12.1. Personal data are processed in accordance with the Privacy Policy published on the Platform.

12.2. Individual prices and commercial terms are confidential; the client shall not disclose them to third parties without MyFusion’s consent.

13. Changes to the Terms

13.1. MyFusion may amend these Terms. The new version is published on the Platform and takes effect 14 days after publication; clients are notified of the changes by e-mail.

13.2. Continued use of the Platform after the new version takes effect constitutes acceptance of it. Orders confirmed before that date are fulfilled on the previous terms.

14. Governing law and disputes

14.1. These Terms and contracts concluded through the Platform are governed by the laws of the Republic of Latvia. The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) does not apply.

14.2. Disputes are resolved by negotiation and, failing agreement, by the courts of the Republic of Latvia at MyFusion’s registered address.

15. Electronic documents and evidence

15.1. The parties acknowledge that these Terms, orders, order confirmations, invoices and correspondence made through the Platform or by e-mail are electronic documents, have legal force under the Electronic Documents Law of the Republic of Latvia and do not require a handwritten signature.

15.2. Records in MyFusion’s information systems of actions performed in the client’s account, including the placing of orders, as well as confirmations and invoices sent to the client, are accepted by the parties as evidence of the actions performed unless proven otherwise.
